1. Corporate Eligibility and Authority
By accessing this Platform on behalf of a business entity, you represent, warrant, and covenant that:
• Legal Existence: The entity you represent is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or registration.
• Authorized Signatory: You possess the legal authority, through a Board Resolution, Power of Attorney, partnership mandate, or other valid authorization, to bind the entity to these Terms and execute financial transactions on its behalf.
• Accurate Information: All corporate registration details, tax identification numbers, corporate bank account information, and beneficial ownership details provided to us are accurate, complete, and up to date.

2. Institutional Services and Advisory Scope
• Corporate Treasury & Advisory: The insights, analytical models, and financial overviews provided on this Platform are intended solely for institutional information and treasury evaluation purposes.
• No Fiduciary Relationship or Solicitation: Unless expressly agreed upon under a separate executed Corporate Advisory Agreement, the information available on this Platform does not constitute a fiduciary relationship, investment advice, solicitation, or commitment by Kuldhara Investment to deliver any specific financial outcome or return.
• Independent Corporate Evaluation: The corporate entity remains solely responsible for evaluating its liquidity requirements, investment objectives, risk appetite, investment horizon, and tax implications before investing in any mutual funds, debt instruments, or other financial products available on the Platform.

3. Institutional Risks and Market Volatility
• Capital Risk: The corporate entity acknowledges that all market-linked financial instruments involve inherent investment risks, including the possible loss of capital. Past performance is not indicative of future results.
• No Guarantees: Kuldhara Investment makes no express or implied warranties or guarantees regarding capital protection, dividend payments, fixed returns, or investment performance.

4. Corporate Accounts and Multi-User Access
• Credential Security: The corporate entity is solely responsible for maintaining the confidentiality and security of its login credentials, API access keys, passwords, and multi-factor authentication codes.
• Authorized User Actions: Any transaction, instruction, or activity initiated through the corporate account shall be deemed to have been authorized by the corporate entity. Kuldhara Investment shall not be liable for any unauthorized access, internal misuse, employee misconduct, or negligence occurring within the organization.

5. Anti-Money Laundering (AML) and Ultimate Beneficial Owner (UBO) Compliance
To comply with applicable anti-money laundering laws and regulatory requirements, the corporate entity agrees to:
• Provide a duly signed Beneficial Owner Declaration identifying all individuals with significant ownership or controlling interests in the entity.
• Submit to identity verification, PAN validation, corporate due diligence, sanctions screening, and other compliance checks as reasonably requested.
• Ensure that all funds invested or transacted through the Platform originate from lawful sources and are not derived from any illegal or sanctioned activities.

6. Intellectual Property and Commercial Restrictions
All proprietary software, technology, dashboards, source code, analytical models, market data, reports, and related intellectual property available on the Platform remain the exclusive property of Kuldhara Investment.
• Limited License: The corporate entity is granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform solely for its internal business and treasury management purposes.
• Restrictions: The corporate entity shall not copy, modify, reverse engineer, decompile, distribute, sublicense, white-label, mirror, or commercially exploit any part of the Platform, its technology, or its content without the prior written consent of Kuldhara Investment.

7. Limitation of Liability and Indemnification
• Limitation of Liability: To the fullest extent permitted under applicable law, Kuldhara Investment shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, loss of profits, business interruption, revenue loss, loss of goodwill, or loss of data arising out of or related to the use of the Platform.
• Indemnification: The corporate entity agrees to indemnify, defend, and hold harmless Kuldhara Investment, its directors, officers, employees, affiliates, and representatives from and against any claims, liabilities, damages, losses, penalties, costs, or expenses (including reasonable legal fees) arising from:
 any breach of these Terms;
 any unauthorized or fraudulent activity;
 inaccurate KYC or corporate information;
 misuse of the Platform by the corporate entity or its personnel; or
 violation of any applicable law or regulation.

8. Modifications to Corporate Terms
We reserve the right to amend, revise, or replace these Terms and Conditions at any time without prior individual notice. Any changes shall become effective immediately upon publication on this Platform. Continued use of the Platform or execution of transactions after such modifications constitutes the corporate entity’s acceptance of the revised Terms.

9. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any dispute, claim, or legal proceeding arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India.

• Official registered company name, trade name, Certificate of Incorporation (COI), Memorandum of Association (MOA), Articles of Association (AOA), partnership deed (where applicable), and registered business address.
Tax and Regulatory Information
• Permanent Account Number (PAN), Goods and Services Tax (GST) registration certificate, Corporate Identification Number (CIN), and other applicable statutory registration details.
Authorized Signatory and Personnel Information
• Names, contact numbers, official email addresses, corporate designations, Board Resolutions, and Officially Valid Documents (OVDs) of authorized signatories, including self-attested identity documents where required.
Ultimate Beneficial Owner (UBO) Information
• Identification details, PAN information, and ownership declarations of individuals holding significant ownership or controlling interests in the entity, as required under applicable anti-money laundering laws.
Corporate Banking and Transaction Information
• Corporate bank account details, account numbers, IFSC codes, cancelled cheque copies, transaction history, treasury allocation records, and payment instructions executed through the Platform.
Technical and System Information
• IP addresses, device information, API access tokens, corporate network identifiers, system logs, browser information, and security monitoring data.

2. How We Use Institutional Data
We process corporate and personal information solely for legitimate business purposes and to comply with applicable legal and regulatory requirements, including:
• Corporate Onboarding and Verification: Verifying corporate profiles, validating authorized signatories, and conducting mandatory Know Your Business (KYB) and Know Your Customer (KYC) compliance checks.
• Transaction Processing: Facilitating corporate investments, routing treasury funds to Asset Management Companies (AMCs), custodians, clearing houses, and processing institutional fund transfers.
• Security and System Administration: Maintaining secure access logs, monitoring user activities, preventing unauthorized access, and protecting the integrity of the Platform.
• Communications: Sending transaction confirmations, account statements, portfolio reports, tax summaries, service notifications, and important system updates.
• Legal and Regulatory Compliance: Complying with applicable laws, including Anti-Money Laundering (AML) regulations, the Prevention of Money Laundering Act (PMLA), tax laws, audit requirements, and statutory record-keeping obligations.

• With trusted third-party service providers, including cloud hosting providers, identity verification agencies, payment gateway providers, cybersecurity vendors, and auditors, who operate under strict confidentiality obligations.
Regulatory and Legal Authorities
• When required by law, regulation, court order, or governmental authority, including disclosures to financial regulators, tax authorities, law enforcement agencies, or judicial authorities for the prevention, investigation, or detection of fraud, money laundering, or other unlawful activities.

The corporate entity retains administrative control over its information through its designated authorized administrators.
• Access and Rectification: Authorized administrators may request access to, update, correct, or verify corporate records, authorized signatory details, employee information, and banking information through the enterprise support team.
• User Access Management: The corporate entity is responsible for creating, managing, auditing, suspending, or revoking access privileges for its employees, officers, and representatives using the Platform.
• Consent Management: Where legally permissible, the corporate entity may withdraw consent for certain data processing activities. However, if such withdrawal affects mandatory compliance requirements, Kuldhara Investment reserves the right to suspend or terminate access to the Platform where regulatory verification is legally required.

6. Third-Party Platforms and Intermediaries
Our Platform integrates with banking systems, payment gateways, financial institutions, and other third-party service providers to facilitate business operations.
Kuldhara Investment is not responsible for the privacy practices, security measures, or data handling procedures of these independent third-party platforms. Corporate entities are encouraged to review the privacy policies of all connected service providers before using their services.
